End User License Agreement

1. Agreement to Terms

This End User License Agreement (“EULA”) is a legal agreement between you and NextHook Ltd, the operator of LiveGuild. By accessing or using LiveGuild, you agree to be bound by this EULA, as well as the LiveGuild Terms of Service, Privacy Policy, and Code of Conduct.

If you do not agree to this EULA, you must not use LiveGuild.

2. License Grant

LiveGuild is a browser-based platform. Subject to your compliance with this EULA, NextHook Ltd grants you a limited, non-exclusive, non-transferable, revocable license to access and use LiveGuild for personal or commercial use.

You may not:

  • Modify, reverse engineer, decompile, or attempt to extract source code from any part of LiveGuild
  • Remove or alter any proprietary notices
  • Resell, sublicense, or redistribute the service or its components
  • Use the platform for unlawful, harmful, or fraudulent purposes
  • Copy or misuse any code, assets, or content provided by LiveGuild

3. User Account

Access to LiveGuild requires Twitch OAuth authentication. You are responsible for:

  • Maintaining security of your Twitch account
  • All actions that occur under your LiveGuild profile
  • Notifying us immediately of unauthorized use

LiveGuild is independent and not affiliated with Twitch. Twitch actions rewarded through LiveGuild are performed on Twitch, not within LiveGuild.

4. Acceptable Use

You agree not to:

  • Violate applicable laws or regulations
  • Infringe intellectual property rights
  • Upload malware or harmful code
  • Harass, abuse, or harm other users
  • Spam or engage in deceptive practices
  • Attempt unauthorized access to systems or data
  • Interfere with or disrupt service integrity

5. Content Ownership

You retain ownership of all content you upload to LiveGuild. By uploading content, you grant NextHook Ltd a worldwide, non-exclusive, royalty-free license to host, display, store, and distribute your content as required to operate the platform.

LiveGuild retains full ownership of its platform, code, branding, design, and infrastructure.

6. Digital Content and Rewards

LiveGuild facilitates distribution of digital items and rewards from streamers to viewers. Streamers are fully responsible for the content they upload, the items they offer, and the rewards they choose to grant.

6.1 Virtual Credits

The LiveGuild credit system allows streamers to reward viewers for actions performed on Twitch. Credits:

  • Have no monetary value
  • Cannot be bought, sold, traded, exchanged, or transferred
  • May only be earned when a streamer manually rewards a viewer inside LiveGuild
  • Cannot be stockpiled or generated by streamers outside LiveGuild’s reward flow
  • Only function in the specific streamer’s LiveSpace or store where they were issued

If a streamer stops using LiveGuild, removes their store, or pauses their subscription, associated credits may become unusable.

6.2 Digital Item Distribution

  • All digital item redemptions are final unless required by law
  • LiveGuild does not guarantee quality or availability of streamer-uploaded content
  • Streamers must ensure they hold rights to distribute any assets they provide

7. Subscriptions and Payments

Paid features require an active subscription. By subscribing, you authorize recurring billing. Subscriptions renew automatically unless cancelled before the renewal date.

Cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.

8. Termination

This license remains effective until terminated. We may suspend or terminate your access for violations of this EULA, Terms of Service, or other operational reasons.

Upon termination, you must stop using LiveGuild. Your account and data may be removed according to our data retention policies.

9. Disclaimers

LiveGuild is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted or error-free operation

10. Limitation of Liability

To the fullest extent permitted by law, NextHook Ltd is not liable for indirect, incidental, consequential, or punitive damages, including loss of data, profits, or goodwill.

Total liability shall not exceed the amount paid by you to LiveGuild in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold NextHook Ltd harmless from claims, damages, liabilities, or expenses arising from your use of LiveGuild or your violation of this EULA.

12. Updates and Modifications

We may update the platform at any time, which may modify or remove features.

We may modify this EULA at any time. Continued use constitutes acceptance of the revised EULA.

13. Governing Law

This EULA shall be governed by and interpreted under the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
